These HOTELS WE TRUST Property Participation Terms (“Terms”) govern participation by hospitality properties in HOTELS WE TRUST (“HWT”).

HOTELS WE TRUST is operated by SIA Amberdwell, Registration No. 40203618394, registered office at Ropažu novads, Stopiņu pagasts, Līči, Krāces 19, LV-2118, Latvia (“HWT”, “we”, “us” or “our”).

These Terms apply exclusively to business-to-business participation and are intended for hospitality properties and persons acting for purposes relating to their trade, business or profession.

1. DEFINITIONS

For the purposes of these Terms:

Amberdwell means SIA Amberdwell and the independent hospitality evaluation activities operated under the Amberdwell name.

Amberdwell Index means Amberdwell’s proprietary 150-point hospitality evaluation methodology.

Annual Membership means HWT participation for successive twelve (12) month paid Membership Periods unless cancelled.

HWT or HOTELS WE TRUST means the traveller-facing hospitality discovery and distribution platform operated by SIA Amberdwell.

HWT Materials means HWT logos, Member graphics, badges, plaques, digital assets, promotional materials and other materials supplied or licensed by HWT.

Member means a Property holding active HWT Membership, including during its Complimentary Period.

Membership means commercial participation in HWT under these Terms.

Membership Period means the applicable monthly or annual period during which Membership is active.

Monthly Membership means Membership provided on successive monthly periods until cancelled or otherwise terminated in accordance with these Terms.

Property means the hospitality establishment identified in the applicable HWT invitation, onboarding submission, invoice or Membership record.

Property Materials means the Property name, logo, trademarks, photographs, descriptions, offers, benefits, videos and other content supplied or authorised by the Property.

Activation Date means the date on which HWT publishes the Property profile and activates Membership; replying to an invitation or submitting onboarding does not itself activate Membership.

Complimentary Period means the first three (3) calendar months beginning on the Activation Date for an eligible newly invited Property, subject to an individual extension by HWT.

Paid Membership Start Date means the date immediately after the Complimentary Period ends, when the selected paid plan begins unless Membership has been cancelled.

Qualification means an applicable Amberdwell determination that the Property has met the relevant Amberdwell qualification threshold.

2. NATURE OF HOTELS WE TRUST

2.1 Traveller Discovery and Distribution Platform

HOTELS WE TRUST is a hospitality discovery and distribution platform designed to help travellers discover selected hospitality Properties and connect with their official websites and direct-booking channels.

HWT is not an online travel agency and does not normally process accommodation bookings or collect booking commissions from participating Properties.

2.2 No Accommodation Contract

HWT is not a party to any accommodation, reservation or other contract between a traveller and a Property.

All bookings, payments, cancellations, refunds, guest services and accommodation-related obligations remain solely between the traveller and the relevant Property or booking-service provider.

3. HWT ELIGIBILITY AND SELECTION

3.1 Independent Eligibility

HWT participation is selective.

Meeting an Amberdwell Qualification threshold may establish eligibility for HWT consideration but does not create an automatic right to Membership, publication or continued participation.

3.2 Additional Considerations

HWT may consider reasonable editorial, quality, operational and portfolio factors including:

  1. hospitality quality and consistency;
  2. suitability for traveller discovery;
  3. availability of functional official booking or enquiry channels;
  4. Property positioning and type;
  5. geographic representation;
  6. operational status;
  7. reputation;
  8. portfolio composition; and
  9. other legitimate factors relevant to HWT.

3.3 Selection Cannot Be Purchased

Payment of a Membership fee does not purchase or guarantee:

  1. Amberdwell Qualification;
  2. any Amberdwell Index score;
  3. an increased or favourable score;
  4. HWT selection;
  5. permanent HWT eligibility;
  6. continued publication; or
  7. protection from reassessment.

Commercial participation and independent evaluation remain separate.

4. MEMBERSHIP AGREEMENT

4.1 Formation of the Agreement

An authorised representative selects Monthly or Annual Membership for the period following any applicable Complimentary Period, submits the onboarding form, actively accepts these Terms and provides information reasonably required to administer Membership. HWT may accept or decline participation. No fee is due for an applicable Complimentary Period.

4.2 Authority

The person submitting onboarding represents that they are authorised to provide the information, accept these Terms and act on behalf of the Property or its legal entity.

4.3 Membership Activation

Membership and the Complimentary Period begin on the Activation Date, when HWT publishes and activates the Property profile. An invitation response, onboarding submission or plan selection alone does not start that period. HWT records the Activation Date and may notify the Property of it.

4.4 Membership Plan

The Property selects Monthly or Annual Membership during onboarding for the paid period. The most recently selected plan on the Paid Membership Start Date determines the first paid invoice. The plan may subsequently be changed under Section 5.4.

5. MEMBERSHIP PLANS

5.1 Monthly Membership

After any applicable Complimentary Period, Monthly Membership costs €78 per month plus applicable VAT, invoiced for successive monthly periods, unless a different price has been expressly agreed with the Property.

5.2 Annual Membership

After any applicable Complimentary Period, Annual Membership costs €936 per year plus applicable VAT, payable in advance for each twelve (12) month term, unless a different price has been expressly agreed with the Property. Annual Membership includes one official HOTELS WE TRUST Member Plaque and standard delivery to the address supplied by the Property.

5.3 Continuation and Renewal

Unless the Property cancels before the Paid Membership Start Date, Membership automatically continues into the selected paid plan at the end of the Complimentary Period. Monthly Membership continues for successive monthly periods and Annual Membership renews for successive annual terms unless cancelled under Sections 7 or 8.

5.4 Plan Changes

During the Complimentary Period, the Property may switch between Monthly and Annual at any time by notifying HWT. The latest plan recorded on the Paid Membership Start Date applies to the first invoice. Once paid Membership has started, a Monthly-to-Annual change takes effect on the next billing date; an Annual-to-Monthly change takes effect at the end of the current paid annual term. HWT records the requested change and its effective date. A plan change does not create a prorated refund.

5.5 Complimentary Period and Introductory Offer

For newly invited Properties offered this introductory arrangement, the first three (3) months from the Activation Date are complimentary. HWT may extend an individual Property’s Complimentary Period at its discretion without creating an entitlement for other Properties. HWT may change or withdraw the offer for future invitations; an already activated Complimentary Period will not be shortened or withdrawn as a result.

6. MEMBERSHIP FEES, TAXES AND PAYMENT

6.1 Applicable Fee

Membership fees are those stated in the applicable:

  1. HWT Membership invitation;
  2. onboarding form;
  3. order;
  4. invoice; or
  5. other commercial communication accepted by the Property.

6.2 Currency and VAT

Unless otherwise stated, Membership fees are expressed in Euro (EUR) and exclude applicable VAT or other taxes.

Where VAT or another tax is legally chargeable, it will be added as required by applicable law.

6.3 Invoicing

HWT may issue Membership invoices electronically to the Billing Email supplied by the Property.

The Property is responsible for providing accurate invoicing information.

6.4 Payment Due Date

Payment must be made by the due date stated on the applicable invoice.

6.5 Late or Unpaid Fees

Where an undisputed Membership fee remains unpaid after its due date, HWT may:

  1. delay paid Membership services where payment is due;
  2. suspend Membership;
  3. temporarily remove or restrict the Property profile;
  4. withhold Member Materials;
  5. decline renewal; and
  6. exercise other remedies available under applicable law.

7. MONTHLY CANCELLATION

The Property may request Cancel Membership by notifying HWT. During the Complimentary Period, cancellation takes effect before paid Membership begins and prevents the selected paid plan from starting. Once paid Monthly Membership has begun, cancellation takes effect at the end of the current paid monthly period and stops the next renewal. Applicable benefits remain available until that period ends unless Membership is separately suspended or terminated. There is no prorated refund of the current paid period unless HWT expressly agrees otherwise or mandatory law requires it.

8. ANNUAL MEMBERSHIP CANCELLATION

The Property may request Cancel Membership by notifying HWT. During the Complimentary Period, cancellation prevents the selected Annual plan from starting. Once a paid annual term has begun, cancellation stops the next renewal and takes effect at the end of the current paid annual term. There is no prorated refund for the current term unless HWT expressly agrees otherwise or mandatory law requires it.

9. ANNUAL MEMBER PLAQUE

9.1 Included Plaque

Annual Membership includes one official HOTELS WE TRUST Member Plaque for display at the participating Property.

9.2 Delivery Information

The Property must provide accurate and complete delivery information, including:

  1. Shipping Address;
  2. Recipient Name; and
  3. telephone number reasonably required for delivery.

9.3 Standard Delivery Included

Standard delivery of one Member Plaque to the delivery address supplied by the Property is included in Annual Membership.

9.4 Incorrect or Incomplete Delivery Information

The Property is responsible for the accuracy and completeness of the delivery information it supplies.

HWT shall not be responsible for unsuccessful delivery, delay or additional costs caused by materially incorrect or incomplete delivery information supplied by the Property.

Additional costs caused by incorrect or incomplete delivery information, failed delivery attempts attributable to the Property, or requests for replacement delivery may be charged separately.

9.5 Delivery Timing

Plaque production and delivery times may vary according to:

  1. destination;
  2. production schedule;
  3. carrier availability;
  4. customs procedures where applicable; and
  5. circumstances reasonably outside HWT’s control.

No specific delivery date is guaranteed unless expressly agreed in writing.

9.6 Replacement Plaques

Replacement Plaques requested because of:

  1. loss;
  2. damage after delivery;
  3. change of Property name;
  4. incorrect information supplied by the Property;
  5. replacement delivery; or
  6. another similar circumstance

may be subject to an additional production and/or delivery fee.

10. USE OF THE HWT MEMBER PLAQUE AND MEMBER STATUS

10.1 Current Membership Only

The HWT Member Plaque and HWT Member designation may be publicly displayed only while the Property holds active and eligible HWT Membership.

10.2 No Permanent Right

Physical possession of a Member Plaque does not create a permanent or irrevocable right to:

  1. represent the Property as a current HWT Member;
  2. use the HWT Member designation;
  3. use HWT trademarks or logos; or
  4. imply current HWT endorsement following expiry or termination.

10.3 End of Membership

Following expiry, suspension, withdrawal or termination of Membership, HWT may require the Property to:

  1. stop representing itself as a current HWT Member;
  2. remove the Member Plaque from public display;
  3. remove current-Member badges or graphics from websites and social channels; and
  4. discontinue other current-Member representations.

The Property shall comply within a reasonable period specified by HWT.

11. HWT MEMBERSHIP SERVICES

Depending on the applicable HWT platform functionality, Membership may include:

  1. an HWT Property profile;
  2. links to the Property’s direct-booking channel;
  3. links to the Property’s official website;
  4. inclusion in relevant HWT discovery functionality;
  5. map or destination visibility;
  6. inclusion in applicable HWT editorial or promotional activity;
  7. Member Materials;
  8. selected performance or engagement metrics; and
  9. other HWT Membership functionality made available from time to time.

The exact platform functionality may develop or change during Membership.

12. EDITORIAL AND PLATFORM CONTROL

HWT retains reasonable editorial and operational discretion regarding:

  1. design;
  2. Property-profile layout;
  3. descriptions;
  4. photography selection and cropping;
  5. presentation;
  6. search and filtering;
  7. order and placement;
  8. map presentation;
  9. collections and categories;
  10. recommendations;
  11. platform functionality;
  12. promotional presentation; and
  13. other reasonable editorial decisions.

Membership does not guarantee a particular position, ranking, homepage placement or level of exposure.

13. DIRECT-BOOKING AND WEBSITE LINKS

13.1 Property Responsibility

The Property is responsible for providing or maintaining valid official website and direct-booking links where such links are used by HWT.

13.2 Third-Party Booking Systems

Booking engines and other external booking technology remain third-party services.

HWT does not control and is not responsible for:

  1. availability;
  2. pricing;
  3. payment processing;
  4. reservations;
  5. cancellations;
  6. refunds;
  7. technical failures; or
  8. security

of external booking systems or Property websites.

13.3 Link Changes

The Property should notify HWT of material changes to its official website or booking channel.

HWT may update, suspend or remove broken, unsafe or materially misleading links.

14. MEMBERSHIP METRICS AND ANALYTICS

Where HWT provides traffic or engagement information, metrics may include information such as:

  1. Property profile views;
  2. Book Direct clicks;
  3. Official Website clicks;
  4. outbound interactions;
  5. referral information;
  6. geographic or market information; and
  7. changes over time.

Such metrics are informational.

HWT does not warrant that analytics are complete or error-free, as measurement may be affected by:

  1. browser settings;
  2. privacy technologies;
  3. cookie restrictions;
  4. ad blockers;
  5. device limitations;
  6. third-party services;
  7. technical errors; or
  8. other circumstances outside HWT’s reasonable control.

15. NO GUARANTEE OF COMMERCIAL RESULTS

HWT does not guarantee any minimum number of:

  1. Property profile views;
  2. impressions;
  3. website visits;
  4. Book Direct clicks;
  5. enquiries;
  6. reservations;
  7. direct bookings;
  8. guests;
  9. revenue;
  10. occupancy;
  11. conversion rate; or
  12. other commercial outcomes.

Membership should not be interpreted as a guarantee of financial return.

16. TRAVELLER ACQUISITION AND MARKETING

HWT may undertake collective traveller-acquisition, marketing, advertising, content, brand-development, search, social-media, public-relations or other promotional activities.

HWT may reinvest a portion of Membership revenue in:

  1. traveller acquisition;
  2. HWT marketing;
  3. platform development;
  4. content;
  5. brand growth; and
  6. activities intended to support the HWT network.

No specific amount, percentage of Membership revenue, advertising expenditure, campaign volume or advertising allocation to an individual Property is guaranteed unless expressly agreed in writing.

17. PROPERTY INFORMATION

The Property must use reasonable care to ensure that information it provides to HWT is materially accurate and current.

The Property should notify HWT of material changes concerning:

  1. Property name;
  2. operational status;
  3. ownership or management where relevant;
  4. official website;
  5. direct-booking links;
  6. contact information;
  7. material facilities or services;
  8. closure; or
  9. other information reasonably relevant to HWT participation.

HWT may correct verified factual inaccuracies.

18. PROPERTY MATERIALS AND CONTENT LICENCE

18.1 Licence

The Property grants HWT a non-exclusive, worldwide, royalty-free licence during active Membership, including the Complimentary Period, to reproduce, resize, crop, format, adapt for technical presentation, display, publish and distribute Property Materials to operate, market and promote HWT and the Property. Property Materials include the Property name, logo, photographs, descriptions, offers, benefits and other submitted content.

18.2 Promotional Use

This licence covers the HWT website and Property profile; HWT Maps and Collections; Journal and other editorial content; HWT social media, including Pinterest; email marketing; HWT promotional materials; and paid HWT digital advertising. HWT may use reasonable excerpts and format adaptations for these channels.

18.3 Property Warranty

The Property confirms that it owns or has obtained all rights, permissions and consents needed to provide and license the submitted Property Materials for these uses, including rights from photographers and other third parties where applicable.

18.4 Third-Party Rights

HWT is not responsible for rights violations arising from Property Materials supplied or authorised by the Property where HWT reasonably relied on the Property’s representation that sufficient rights existed.

19. HWT INTELLECTUAL PROPERTY

All rights relating to:

  1. HOTELS WE TRUST;
  2. HWT names and logos;
  3. Member badges;
  4. plaque design;
  5. HWT platform design;
  6. proprietary text and graphics;
  7. databases;
  8. software;
  9. branding; and
  10. HWT Materials

remain the property of SIA Amberdwell or the applicable rights holder.

No ownership rights are transferred to the Property.

20. LIMITED MEMBER LICENCE

While Membership is active, including during the Complimentary Period, HWT grants the Property a limited, non-exclusive, non-transferable and revocable right to use the approved HWT Member badge/logo and specified HWT Member Materials solely to identify the participating Property as a current Member. The Property shall not materially alter HWT Marks, create misleading derivative badges, sublicense Member Materials, use Property-specific Materials for another Property, imply broader endorsement, or register confusingly similar trademarks, domains or social identifiers.

When Membership ends or is suspended, the right to present the Property as an active HWT Member and to use the active Member badge/logo ends. The Property must promptly remove active-Member representations in accordance with Section 10.

21. CONTINUED ELIGIBILITY

Membership remains conditional upon the Property continuing to satisfy HWT’s applicable quality, eligibility and participation standards.

Payment does not guarantee continued Membership.

HWT may review continued eligibility where reasonably appropriate, including following:

  1. material deterioration in quality;
  2. significant adverse guest feedback;
  3. closure;
  4. ownership or management change;
  5. rebranding;
  6. material operational change;
  7. serious reputational concerns;
  8. material changes to the Property offering;
  9. removal of appropriate booking or enquiry channels; or
  10. credible information relevant to HWT eligibility.

22. SUSPENSION AND TERMINATION BY HWT

HWT may suspend or terminate Membership where the Property:

  1. ceases to meet applicable HWT eligibility or quality standards;
  2. materially breaches these Terms;
  3. provides materially false or misleading information;
  4. misuses HWT Marks or Materials;
  5. fails to pay undisputed Membership fees when due;
  6. materially interferes with independent evaluation;
  7. ceases trading or operating;
  8. uses HWT participation in a materially misleading manner; or
  9. undergoes a material change that makes continued participation reasonably inappropriate.

Where reasonably practicable, HWT may allow the Property an opportunity to provide clarification or remedy a remediable breach before final termination.

Immediate suspension may be applied where HWT reasonably considers it necessary to protect travellers, HWT’s reputation, platform integrity or legal interests.

23. FINANCIAL CONSEQUENCES OF TERMINATION

23.1 Property Breach or Loss of Eligibility

Where Membership is suspended or terminated because of:

  1. material breach by the Property;
  2. non-payment;
  3. materially false or misleading information;
  4. misuse of HWT Materials; or
  5. failure to satisfy applicable HWT eligibility or participation standards,

fees already paid are non-refundable except where required by mandatory law or expressly agreed otherwise.

23.2 HWT-Initiated Termination Unrelated to the Property

Where HWT permanently terminates a prepaid Annual Membership for reasons unrelated to the Property’s breach, conduct or eligibility, HWT shall provide an appropriate pro-rata refund for the unused portion of the Membership Period unless another reasonable remedy is agreed with the Property.

24. PROPERTY OPERATIONS

The Property remains solely responsible for its hospitality operations, including:

  1. accommodation;
  2. employees and contractors;
  3. health and safety;
  4. legal compliance;
  5. licences and permits;
  6. guest relations;
  7. bookings;
  8. prices;
  9. availability;
  10. cancellations;
  11. refunds;
  12. taxation;
  13. accessibility;
  14. facilities; and
  15. services provided to travellers.

HWT does not operate or manage the Property.

25. THIRD-PARTY SERVICES

HWT may use or link to independent third-party services including:

  1. web-hosting providers;
  2. analytics providers;
  3. search engines;
  4. social networks;
  5. mapping services;
  6. booking technologies;
  7. payment providers;
  8. advertising platforms;
  9. delivery providers; and
  10. other technology or business-service providers.

HWT does not warrant uninterrupted availability or performance of independent third-party services.

26. DATA PROTECTION AND PRIVACY

26.1 Compliance

Personal data shall be processed in accordance with applicable data-protection law, including Regulation (EU) 2016/679 (GDPR) where applicable.

26.2 Business Contact Data

HWT may process business contact and administrative information for purposes including:

  1. Membership onboarding;
  2. invoicing;
  3. Membership administration;
  4. plaque delivery;
  5. Property communication;
  6. platform administration;
  7. legal and accounting records;
  8. fraud or security prevention; and
  9. protection of legitimate business and legal interests.

26.3 Privacy Policy

Further information regarding personal-data processing is provided in the applicable HWT Privacy Policy.

26.4 Independent Controllers

Unless expressly agreed otherwise, HWT and the Property each act as independent controllers in relation to personal data processed for their respective business purposes.

27. CONFIDENTIALITY

Each party shall use reasonable measures to protect non-public commercial, technical or proprietary information received from the other party in connection with Membership.

Confidentiality obligations do not apply to information that:

  1. is lawfully public;
  2. was lawfully known before disclosure;
  3. was independently developed;
  4. was lawfully received from another source; or
  5. must be disclosed under applicable law or by a competent authority.

28. LIMITATION OF LIABILITY

28.1 Mandatory Law

Nothing in these Terms excludes or limits liability to the extent such liability cannot lawfully be excluded or limited.

28.2 Excluded Losses

To the maximum extent permitted by applicable law, HWT shall not be liable for indirect, incidental, special or consequential losses, including loss of:

  1. profit;
  2. revenue;
  3. bookings;
  4. business opportunity;
  5. anticipated savings;
  6. goodwill;
  7. reputation; or
  8. data.

28.3 Liability Cap

To the maximum extent permitted by applicable law, HWT’s aggregate contractual liability arising out of or in connection with Membership shall not exceed the total Membership fees actually paid by the relevant Property to HWT during the twelve (12) months preceding the event giving rise to the claim.

For an Annual Membership active for less than twelve months, the relevant amount shall not exceed the total Membership fee actually paid for that Membership Period.

28.4 Property Operations

HWT shall not be liable for acts, omissions, facilities, services, employees, contractors or operations of the Property.

29. INDEMNIFICATION

To the extent permitted by applicable law, the Property shall indemnify HWT against reasonable third-party claims, losses, liabilities, damages and costs directly arising from:

  1. Property Materials infringing third-party rights;
  2. materially false or misleading information supplied by the Property;
  3. unauthorised or misleading use of HWT Marks;
  4. operation of the Property;
  5. the Property’s breach of laws applicable to its operations; or
  6. material breach of these Terms.

The Property shall not be responsible under this Section to the extent the relevant loss was caused by HWT’s own unlawful conduct.

30. CHANGES TO HWT AND MEMBERSHIP SERVICES

HWT may reasonably develop, modify or discontinue features of the HWT platform.

This may include changes to:

  1. design;
  2. functionality;
  3. analytics;
  4. profile structure;
  5. discovery tools;
  6. maps;
  7. categories;
  8. promotional features; and
  9. technology.

HWT will not intentionally remove the essential substance of an already-paid Membership without reasonable justification or an appropriate remedy where required.

31. CHANGES TO THESE TERMS

HWT may amend these Terms from time to time to reflect changes in:

  1. applicable law;
  2. Membership services;
  3. platform functionality;
  4. technology;
  5. security;
  6. operational requirements; or
  7. business structure.

Updated Terms apply to new Membership agreements from the stated effective date.

Where a material change affects an existing paid Membership, HWT shall provide reasonable notice where required by applicable law or the applicable agreement.

Changes shall not retrospectively remove accrued rights or alter obligations that cannot lawfully be modified unilaterally. A change or withdrawal of the introductory complimentary offer applies only to future invitations and does not reduce an already activated Complimentary Period.

32. ELECTRONIC COMMUNICATIONS

The Property agrees that HWT may communicate in relation to Membership electronically, including by email.

The Property is responsible for maintaining accurate:

  1. Contact Email;
  2. Billing Email;
  3. delivery information; and
  4. other relevant business contact information.

Electronic communications sent to the most recently supplied contact details may be relied upon by HWT unless HWT has been notified that those details are no longer valid.

33. ENTIRE AGREEMENT

These Terms together with the applicable:

  1. HWT Membership onboarding submission;
  2. accepted Membership Plan;
  3. invoice;
  4. specific written order; and
  5. any expressly incorporated written terms

constitute the agreement concerning HWT Membership.

34. ORDER OF PRECEDENCE

In the event of an inconsistency, the following order shall apply unless expressly agreed otherwise:

  1. a specifically signed individual agreement;
  2. a specific written Membership order or individually agreed terms;
  3. the accepted Membership Plan and applicable invoice;
  4. these Terms.

35. SEVERABILITY

If any provision of these Terms is determined to be invalid, unlawful or unenforceable, that provision shall be interpreted or limited to the minimum extent necessary.

The remaining provisions shall continue in effect.

36. NO WAIVER

Failure or delay by either party to exercise a contractual right does not constitute a waiver of that right.

A waiver relating to one circumstance does not constitute a waiver relating to another circumstance.

37. ASSIGNMENT

The Property may not assign or transfer its Membership or rights under these Terms to another Property or legal entity without HWT’s prior written consent.

HWT may transfer its rights and obligations in connection with a genuine corporate reorganisation, transfer of business or legal succession, subject to applicable law.

38. NO PARTNERSHIP OR AGENCY

Membership does not create:

  1. a partnership;
  2. joint venture;
  3. franchise;
  4. employment relationship;
  5. fiduciary relationship; or
  6. agency relationship

between HWT and the Property.

Neither party may bind the other unless expressly authorised in writing.

39. FORCE MAJEURE

Neither party shall be liable for delay or failure to perform an obligation to the extent caused by circumstances beyond its reasonable control, including:

  1. natural disasters;
  2. war or civil disturbance;
  3. governmental action;
  4. major telecommunications or internet failures;
  5. cyber incidents not reasonably preventable;
  6. widespread infrastructure failures;
  7. carrier disruption; or
  8. comparable circumstances beyond reasonable control.

This Section does not excuse payment obligations already accrued before the relevant event.

40. GOVERNING LAW

These Terms and the Membership relationship shall be governed by and construed in accordance with the laws of the Republic of Latvia.

41. DISPUTE RESOLUTION

Before commencing formal proceedings, HWT and the Property shall use reasonable efforts to resolve contractual disputes through good-faith discussions.

Subject to mandatory applicable law, disputes arising from or relating to Membership shall be subject to the jurisdiction of the competent courts of the Republic of Latvia having jurisdiction over the registered office of SIA Amberdwell.

42. LANGUAGE

These Terms are prepared in English.

Any translation is provided for convenience unless expressly agreed otherwise.

To the extent permitted by applicable law, where an inconsistency exists between the English version and a translation, the English version shall prevail.
